License Terms for Research

License. References to “you” or “your” includes the individual or entity licensing the written materials (collectively, the “Research”) from ISG on this website. All right, title and interest in the Research is owned by ISG and/or its licensors. Upon ISG’s receipt of payment, you are granted, subject to terms herein, a limited, perpetual, worldwide, non-transferable, revocable license to use the Research for your internal business purposes only, excluding use by third parties. The Research may only be used in the ordinary course of your business. You obtain no intellectual property rights in the Research. Except as expressly permitted herein, external disclosure or reproduction of the Research including, without limitation, licensing, selling, public display, advertising, press releases, promotional materials, web site posting, online service offerings, and external presentations in any form, in whole or in part, is prohibited. You agree to treat the Research as ISG Confidential Information and hold it in strict confidence, and not use the Research except as expressly permitted herein. No other uses of the Research are allowed by you without ISG’s prior written consent.
Permitted Uses and Restrictions. You may print or email a limited number of copies of the Research for use in the ordinary course of your internal business, provided it is not done on a routine basis, and it is limited to an internal audience consisting solely of your employees who have a need to know such information, have been advised of the terms herein, and have agreed to be bound thereby. Except as permitted below, you must use the entire Research deliverable “as is” with no change to the content thereof. You may not change or delete any proprietary or copyright notices, and you must provide proper source attribution to ISG. Subject to the foregoing, you may create a small excerpt that can be shared with your internal employee colleagues for a presentation or report who have a specific project need to know the Research, provided that you selectively quote portions of the Research in its contextual entirety. You may also selectively quote portions of the Research for external use, provided it is used in its contextual entirety, without modification, and provided it is not done on a routine basis. All such permitted citations from the Research must be sourced as "Source: Information Services Group, Inc.", with the ISG copyright notice affixed thereto. All citations of greater than one paragraph require written consent by ISG.
Disclaimer of Warranties and Limitations of Liability. The Research is provided on an “as is” and “as available” basis. ISG endeavors to provide Research that is accurate and current, though the Research should not be relied upon for any extended duration because rapid changes in technology and the marketplace may make the Research inapplicable or irrelevant. ISG does not warrant that the Research will meet your requirements or that the Research will be complete or error free. ISG expressly disclaims all warranties, express or implied including, without limitation, any warranty of merchantability, fitness, non-infringement, title or absence of defects, and any warranties as to the accuracy and completeness of the Research. ISG shall have no liability to you arising from or related to your use of the Research, whether in contract, breach of warranty, tort or otherwise. ISG, its affiliates and their officers, directors, or employees are not responsible for any failures beyond their reasonable control. In no event will ISG, its affiliates and their officers, directors, or employees be liable to you for any incidental, indirect, special, consequential or punitive damages or lost profits. ISG’s, its affiliates’ and their officers, directors, and employees aggregate total liability to you with respect to the Research, whether in contract, breach of warranty, tort, or otherwise, shall not exceed the fee paid by you to ISG for the Research.
Entire Agreement. These Terms of Use constitute the entire agreement between you and ISG and supersede all prior representations, understandings, discussions or agreements between you and ISG with respect to the subject matter hereof. There are no conditions, covenants, agreements, representations, warranties or other provisions, express or implied, collateral, statutory or otherwise, relating to the subject matter hereof except as herein provided. These Terms of User are non-assignable and any attempt to assign will be void. These Terms of Use shall be governed by and construed in accordance with the laws of the State of Texas.
